Annual report & registration fee for Virginia corporations: due date, fee, and late penalty
Annual report & registration fee
- Due
- Due by the last day of the anniversary month of incorporation - one date shared by the no-fee annual report and the registration fee.
- First one
- First due the year after incorporation.
- Fee
- No fee for the report itself. The registration fee scales with authorized shares - $50 for 5,000 or fewer shares, rising in steps and capped at $850.
- Frequency
- Annual
If it is late
Virginia adds a penalty of 10 percent of the fee or $10, whichever is greater, and automatically terminates corporations still unpaid at the end of the fourth month past due.
