Annual registration fee for Virginia LLCs: due date, fee, and late penalty
Annual registration fee
- Due
- Due the last day of the formation month, every year. Virginia asks for the fee only - there is no report to fill in.
- First one
- First due on or before the last day of the anniversary month in the year after formation.
- Fee
- $50 flat, regardless of income, revenue, members, or assets.
- Frequency
- Annual
If it is late
A flat $25 penalty attaches, with no interest. If the fee is still unpaid on the last day of the third month after the due date, the LLC is automatically cancelled by operation of law, with no notice and no hearing.
