Due December 31 every year, whatever month the corporation was formed in.

First one

No renewal is owed in the incorporation year; the first is due December 31 of the following year.

Fee

Free - Minnesota charges nothing for the renewal while the corporation is active and in good standing.

If it is late

No late fee, but a corporation that misses the December 31 deadline is dissolved by the Secretary of State without further notice.
